Terms & Conditions

These Terms & Conditions govern the use of Social-Lea Marketing’s website and the general provision of our services.
Specific services may also be governed by a quotation, Website Design Agreement, Website Hosting & Maintenance Agreement, invoice or other written agreement.
Where service-specific terms have been individually agreed, those terms should be read alongside these Terms & Conditions.
1. About Social-Lea Marketing
Social-Lea Marketing provides services including:

Website hosting
Website maintenance
SEO and website optimisation
Branding and business start-up services
Digital marketing and related services

2. Quotations
Quotations are based on the information and project requirements provided at the time they are prepared.
Unless expressly stated otherwise, additional work outside the quoted scope may incur an additional charge.
A quotation does not necessarily reserve project availability until any required agreement has been completed and any required initial payment or deposit has been received.
3. Website Projects
Website design projects are subject to Social-Lea Marketing’s Website Design Agreement where applicable.
The Client is responsible for providing requested information, content, images, branding, account access and approvals reasonably required to complete the project.
Project timescales may be affected if these are not supplied when required.
4. Payments
Payment amounts and schedules will be stated within the relevant quotation, invoice, agreement or subscription.
Clients are responsible for ensuring payments are made by the agreed due date.
Recurring hosting and maintenance services may be collected automatically through Stripe or another agreed payment provider.
5. Deposits & Advance Payments
Where an advance payment or deposit is required, the amount and purpose will be communicated before payment.
If a project is cancelled, any amount retained by Social-Lea Marketing will reflect work already undertaken and reasonable losses or costs incurred, subject to applicable law and the specific agreement governing the project.
6. Additional Work
Work outside the original agreed scope may be chargeable.
Examples may include:
Additional pages
Significant redesigns
Additional functionality
Complex integrations
Additional products
Extensive content entry
Work requested after project sign-off
Services exceeding an active maintenance allowance
Where reasonably practicable, additional charges will be agreed before chargeable additional work begins.
7. Revisions
Reasonable revisions within the agreed project scope will be provided in accordance with the relevant quotation or agreement.
Revisions that materially alter the original brief or require significant additional work may be quoted separately.
8. Client Content
Clients are responsible for ensuring they have the necessary rights and permissions to use content supplied to Social-Lea Marketing.
This includes:
Photographs
Logos
Written content
Videos
Product imagery
Fonts
Music
Graphics
Trademarks
Other intellectual property
Social-Lea Marketing may rely on the Client’s confirmation that supplied materials may lawfully be used.
9. Website Ownership
Unless otherwise agreed, ownership of bespoke website design work created specifically for the Client will pass in accordance with the applicable Website Design Agreement after the agreed project balance has been paid in full.
Ownership of the website does not transfer ownership of third-party or Social-Lea Marketing-owned software licences.
10. Social-Lea Marketing Licences
Websites may be created using agency-owned licences and subscriptions, including Elementor Pro, premium plugins, themes, security software and other professional tools.
These licences remain owned by or licensed to Social-Lea Marketing.
Where included within an active eligible Social-Lea Marketing service, applicable licences may remain connected to the Client’s website.
If the website leaves Social-Lea Marketing’s services, these licences may be disconnected.
The Client may therefore need to purchase their own replacement licences to continue receiving updates, support or premium functionality from the relevant software provider.
11. Hosting
Website hosting is a recurring service unless expressly included otherwise.
Hosting keeps the website available through the relevant hosting infrastructure but does not automatically include ongoing website maintenance unless the Client has an active maintenance plan.
Social-Lea Marketing will provide hosting services with reasonable care and skill but cannot guarantee uninterrupted availability where downtime results from maintenance, infrastructure failures, cyber incidents or circumstances outside our reasonable control.
12. Website Maintenance
Website maintenance is available under separate recurring plans.
Maintenance may include services such as:
Website backups
WordPress updates
Plugin/theme updates
Security checks
Website health monitoring
Content updates
Meetings
SEO services
The exact services depend on the selected plan and applicable Website Hosting & Maintenance Agreement.
13. SEO
SEO services are intended to improve website optimisation and identify opportunities to improve search visibility.
Search engines operate independently and regularly change their algorithms.
Social-Lea Marketing therefore cannot guarantee:
A specific Google position
First-page rankings
Particular keyword positions
Specific levels of traffic
A particular number of enquiries
Sales or revenue
14. Security
Social-Lea Marketing takes reasonable preventative measures when providing website security and maintenance services.
However, no website, hosting environment or security system can be guaranteed to be completely immune from hacking, malware, vulnerabilities, outages or other cyber incidents.
15. Third-Party Services
Social-Lea Marketing may use or integrate services supplied by independent third parties.
These may include payment providers, WordPress software, plugins, booking systems, analytics platforms, email providers and other services.
We cannot guarantee the continued availability, functionality, pricing or policies of independent third-party providers.
16. Cancellations
Cancellation arrangements vary depending on the service purchased and will be specified in the applicable agreement.
Recurring hosting and maintenance subscriptions are subject to the cancellation provisions contained within the Website Hosting & Maintenance Agreement.
Nothing within these terms removes cancellation or other statutory rights that apply under law.
17. Failed & Late Payments
If an undisputed payment becomes overdue, Social-Lea Marketing may contact the Client and request payment.
Where an ongoing hosting or maintenance service remains unpaid, services may ultimately be suspended or terminated in accordance with the applicable agreement and after appropriate notice.
18. Website Migration
Where a Client wishes Social-Lea Marketing to perform a website migration and technical handover, a migration charge may apply.
Where the current published/agreed migration service is £150, this charge relates to the work involved in carrying out the migration and technical handover.
It is not a charge for ownership of a website that has already been paid for by the Client.
19. Portfolio Use
Unless otherwise agreed or the Client asks us not to, Social-Lea Marketing may display completed work within its portfolio, website, case studies or social media to demonstrate services previously provided.
Confidential Client information will not knowingly be published as part of portfolio use.
20. Limitation of Liability
Social-Lea Marketing will provide its services with reasonable care and skill.
Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful or removes statutory rights that cannot legally be excluded.
Subject to those rights, Social-Lea Marketing will not be responsible for losses caused solely by:
Client actions
Unauthorised third-party modifications
Client-supplied content
Unsupported third-party software
Third-party outages
Events outside our reasonable control
21. Privacy
Personal information is handled in accordance with the Social-Lea Marketing Privacy Policy and applicable UK data protection requirements.
22. Changes to Services & Terms
Social-Lea Marketing may update these general Terms & Conditions from time to time.
Changes will not be used to retrospectively remove rights already acquired under an existing agreement.
Where a material change affects an active recurring service, reasonable notice will be provided and agreement obtained where required by law or contract.
23. Complaints
If you are unhappy with a Social-Lea Marketing service, please contact us as soon as possible and provide details of the issue.
We will aim to investigate concerns and reach a reasonable resolution.
24. Governing Law
These Terms & Conditions are governed by the laws of England and Wales, subject to any mandatory legal rights or jurisdiction rules that apply.
